Cloud360 Network Terms and Conditions
1. Introduction
1.1 These Terms and Conditions ("Terms") govern the use of Cloud360 Network's ("Cloud360" or "we") services, including but not limited to, cloud computing, network infrastructure, cybersecurity, and IT consulting services (collectively, the "Services").
1.2 By using the Services, you ("Customer" or "you") agree to be bound by these Terms.
2. Service Provision
2.1 Cloud360 will provide the Services as described in the applicable service agreement or order form (the "Service Agreement").
2.2 Cloud360 reserves the right to modify or discontinue the Services at any time, with or without notice.
3. Customer Obligations
3.1 You agree to:
* Provide accurate and complete information when ordering the Services.
* Comply with all applicable laws and regulations.
* Use the Services only for lawful purposes.
* Not interfere with or disrupt the Services or any Cloud360 infrastructure.
3.2 You are responsible for maintaining the security and confidentiality of your account and password.
4. Payment Terms
4.1 You agree to pay all fees and charges associated with the Services, as set forth in the Service Agreement.
4.2 Payment is due within 30 days of invoice date.
4.3 Late payments may incur interest charges and/or fees.
5. Intellectual Property
5.1 Cloud360 retains all rights, title, and interest in and to the Services, including all intellectual property rights.
5.2 You grant Cloud360 a non-exclusive, royalty-free license to use, reproduce, and display your trademarks, logos, and other branding materials in connection with the Services.
6. Confidentiality
6.1 Cloud360 will maintain the confidentiality of your data and information.
6.2 You agree to maintain the confidentiality of Cloud360's proprietary information and trade secrets.
7. Warranty Disclaimer
7.1 The Services are provided "as-is" and "as-available," without warranties of any kind.
7.2 Cloud360 disclaims all warranties, express or implied, including but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
8. Limitation of Liability
8.1 In no event will Cloud360 be liable for any indirect, special, incidental, consequential, or punitive damages.
8.2 Cloud360's total liability for any claim arising out of or related to the Services will not exceed the total fees paid by you for the Services during the 12 months preceding the claim.
9. Termination
9.1 Either party may terminate the Service Agreement upon written notice to the other party.
9.2 Upon termination, you agree to immediately cease using the Services and pay all outstanding fees and charges.
10. Governing Law
10.1 These Terms will be governed by and construed in accordance with the laws of [State/Country].
10.2 Any disputes arising out of or related to these Terms will be resolved through binding arbitration.
11. Changes to Terms
11.1 Cloud360 reserves the right to modify or update these Terms at any time, with or without notice.
11.2 Your continued use of the Services will be deemed acceptance of any changes to these Terms.
By using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
